UltraNow Terms of Use
These Terms govern access to UltraNow, a service operated by OVRLab for managed Google license access across company and individual/testing workflows.

1. Acceptance
By accessing UltraNow, creating an account, connecting Google Workspace, starting a checkout, or activating a managed Google license through UltraNow, you agree to these Terms. If you use UltraNow for a company, you represent that you have authority to bind that company.
A separate written agreement, order form, or data processing agreement may add to or override these Terms for a customer.
2. The service
UltraNow helps companies and approved employees manage temporary Google license access. Current live features include public login entrypoints, company admin bootstrap, Google Workspace admin OAuth connection, directory sync, first-pass access policy controls, employee activation, Stripe company subscriptions, individual Stripe top-ups, and Google Workspace license assignment or revocation where configured.
Some features may be beta, incomplete, or unavailable until enabled for a customer. UltraNow may change, limit, suspend, or discontinue features as the product evolves.
3. Customer administrators
Customer administrators are responsible for creating or managing the company tenant, connecting the correct Google Workspace tenant, keeping admin accounts secure, setting access policies, reviewing synced directory data, maintaining subscription status, and ensuring employees receive any required notices or approvals.
Customer administrators must not create duplicate organizations for the same company domain, connect a Workspace tenant they are not authorized to manage, or use UltraNow to bypass company policy, Google Workspace policy, or license restrictions.
4. Employees
Employees may use UltraNow only for accounts and company tenants where they are authorized. Employees must not share managed license login credentials, attempt to access another tenant, bypass eligibility or capacity controls, or continue using a license after access should have ended.
5. Google Workspace, Google Cloud, and managed licenses
UltraNow depends on Google Workspace, Google Cloud, Google APIs, and managed-license availability. A customer must have the required Google permissions, provider configuration, subscription, and SKU access before UltraNow can manage licenses for that tenant.
UltraNow can assign or revoke licenses only when the required Google OAuth grant, scopes, SKU identifiers, and provider APIs are available. Google may change its products, APIs, pricing, quotas, policies, or approval requirements. UltraNow is not responsible for Google charges, Google account decisions, or Google service outages.
6. Billing
Company subscription billing for UltraNow is handled through Stripe. The UltraNow subscription pays for orchestration, policy, activation, and support features. Google license usage and provider charges may be billed separately by Google or another provider. Customers are responsible for understanding and paying provider charges.
Subscription state is determined by Stripe checkout, Stripe portal actions, and Stripe webhooks. Cancellation may take effect at the end of the current billing period unless the Stripe flow or customer agreement says otherwise. Individual top-ups are separate from company employee access and do not give company employees a right to self-fund company usage.
7. Third-party services
UltraNow integrates with Google Workspace, Google APIs, Microsoft identity services, Stripe, Cloudflare, and other infrastructure or support providers. Your use of those services may be governed by their own terms and policies. UltraNow is not responsible for third-party services outside its control.
8. Acceptable use
You must not use UltraNow to break the law, infringe rights, attack or probe systems, scrape data, interfere with the service, evade security or capacity controls, reverse engineer protected parts of the service, submit malicious content, or misrepresent your authority to manage a company tenant.
9. Data and privacy
The Privacy Policy explains how UltraNow handles account, Workspace, activation, billing, technical, and support data. Customer administrators are responsible for ensuring they have the right to provide employee and Workspace data to UltraNow.
10. Security and access
UltraNow may suspend or deny access when a subscription is inactive, a Workspace connection is missing or unsafe, a user is not eligible, a tenant does not match the signed-in user, a webhook or provider request cannot be verified, or continued access would create a security, legal, billing, or operational risk.
11. Intellectual property
UltraNow, its software, documentation, designs, and service marks are owned by OVRLab or its licensors. Customers and users keep ownership of their own data. You grant UltraNow the rights needed to host, process, transmit, and display that data to provide the service.
12. Disclaimers
UltraNow is provided as is and as available. To the maximum extent permitted by law, OVRLab disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free operation, and provider availability.
UltraNow does not provide legal, tax, accounting, procurement, or licensing advice. Customers are responsible for validating the Google license billing model, provider terms, internal approvals, and budget assumptions that apply to them.
13. Limitation of liability
To the maximum extent permitted by law, OVRLab will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, provider charges, or business interruption. Any aggregate liability for UltraNow is limited to the amounts paid to UltraNow for the affected service during the three months before the event giving rise to the claim, unless a written agreement says otherwise.
14. Termination
You may stop using UltraNow at any time. UltraNow may suspend or terminate access for breach, non-payment, security risk, legal risk, provider restrictions, or discontinued service. After termination, certain records may be retained as described in the Privacy Policy.
15. Changes to these Terms
We may update these Terms as UltraNow changes. Continued use after an update means you accept the updated Terms. Material changes will be posted on this page or communicated through the service when appropriate.
